Note: We may periodically update or amend any of the terms in this agreement. Changes will immediately become effective upon posting the revised Terms of Service and End-User License Agreement on our website. If you do not wish to accept the amended agreement, you must cancel your access to our products. Continued use of our software accessed through the website in your personal account constitutes your acceptance of the terms of the modified agreement.

Acknowledgment

These are the terms and conditions governing the use of the service and establishing the agreement between you and GW Add-ons(hereby referred as the “Company”).The following terms and conditions delineate the rights and responsibilities of all users in relation to the utilization of the service.

Your ability to access and use the service is contingent upon your acceptance of and adherence to these terms and conditions. These stipulations are applicable to all individuals, visitors, users, and others who either access or use the service.

By accessing or using the service, you express your agreement to be bound by these terms and conditions. In the event of any disagreement with any portion of these terms and conditions, your access to the service is prohibited.

You affirm that you are at least 18 years old. The company does not authorize individuals under the age of 18 to use the service.

Furthermore, your access to and utilization of the service is subject to your acceptance of and compliance with the privacy policy of the company. The privacy policy delineates our protocols and processes concerning the collection, utilization, and disclosure of your personal information when you interact with the application or the website. It also informs you about your privacy rights and the legal protections afforded to you.

Termination

We reserve the right to terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including but not limited to, a breach of these Terms and Conditions. Upon termination, your right to use the Service will cease immediately.

Regardless of any damages you might incur, the total liability of the Company and any of its suppliers under any provision of these Terms, and your exclusive remedy for all of the foregoing, shall be limited to the amount actually paid by you through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever, including, but not limited to, damages for loss of profits, loss of data or other information, business interruption, personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of these Terms. This applies even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party’s liability will be limited to the greatest extent permitted by law.

Restrictions on Use of the Service:

In addition to all other terms and conditions contained herein (including Google API Services User Data Policy, Google APIs Terms of Service and the Generative AI APIs Additional Terms of Service), you shall not and shall not permit others to:

1. Copy, modify, adapt, translate or otherwise create derivative works of the Service or any Third Party Offering.

2. Reverse engineer, decompile, translate, disassemble or otherwise attempt to discover the source code of the Service or any Third Party Offering.

3. Rent, lease, sell, resell, assign, sublicense, transfer, distribute any or all of the Service or any Third Party Offering or otherwise transfer rights in or to the Service or any Third Party Offering.

4. Access or use the Service or any Third Party Offering:

   1. For activities where the use or failure of the Service or any Third Party Offering would reasonably be expected to lead to death, personal injury, or environmental damage (such as the creation or operation of nuclear facilities, air traffic control, life support systems, or weaponry).

   2. In violation of the then-current Google’s acceptable use policy stated at http://cloud.google.com/terms/aup (with respect to Gemini for Sheets™ and Docs™).

   3. In violation of the then-current GenAI Tools Terms.

   4. In violation of any then-current terms applicable to any other applicable Third Party Offerings.

   5. In a manner intended to avoid incurring fees (including creating multiple accounts to simulate or act as a single customer account) or to circumvent the specific usage limits or quotas of the Service or any Third Party Offering.

5. Remove any proprietary notices or labels from the Service or any Third Party Offering.

6. Use, post, transmit or introduce any device, software, or routine which interferes or attempts to interfere with the operation of the Service or any Third Party Offering.

7. Use the Service or any Third Party Offering for spamming or any other illegal or unauthorized purpose or engage in illegal or deceptive trade practices.

8. Otherwise use the Service or any Third Party Offering in violation of any applicable laws (including but not limited to copyright laws and Export control laws).

The Service is provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Service.

This includes all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage, or trade practice. Without limitation to the foregoing, the Company provides no warranty or undertaking and makes no representation of any kind that the Service will meet your requirements, achieve any intended results, be compatible or work with any other software, applications, systems, or services, operate without interruption, meet any performance or reliability standards, or be error-free or that any errors or defects can or will be corrected.

Without limiting the foregoing, neither the Company nor any of the company’s providers make any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or emails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs, or other harmful components.

We MAKES NO REPRESENTATION OR WARRANTIES WITH RESPECT TO THE WEBSITE. THE WEBSITE AND ALL INFORMATION, CONTENT, MATERIALS, AND SOFTWARE ARE PROVIDED TO YOU AS IS AND AS AVAILABLE. TO THE FULLEST EXTENT PERMITTED BY LAW, We DISCLAIMS ALL WARRANTIES AND CONDITIONS, LEGAL, EXPRESSED OR IMPLIED, BY OPERATION OF LAW OR OTHERWISE.

LIMITATION OF LIABILITY

Indemnification by You

To the fullest extent permitted by law, you agree to defend and hold harmless our website from and against any and all claims, losses, charges, costs, and liability that may arise from your use of our software service.

The provided add-ons are third-party integration for Google Workspace products and not provided by Google nor sponsored or affiliated with Google.
